GoodSeat is a technology platform that facilitates:

• voluntary seat exchange requests between airline passengers;
• networking and matchmaking between airport users;
• communication tools between users.

GoodSeat is not:

• an airline;
• an airport operator;
• a travel agency;
• a ticket issuer;
• an immigration authority;
• a security authority.

GoodSeat does not own, operate or control flights.

Users must:

• be at least 18 years old (or legal age in their country);
• legally possess their airline ticket;
• provide accurate identity information;
• comply with airline policies and local laws.

You are responsible for:

• your account
• your password
• all activity under your account

You must immediately report unauthorized access.

GoodSeat only introduces passengers who wish to exchange seats.

GoodSeat:

• does not guarantee any exchange;
• does not force any airline to approve an exchange;
• does not modify boarding passes;
• does not assign seats.

Seat swaps remain entirely subject to:

• airline approval;
• airport security procedures;
• gate agents;
• airline staff discretion.

When participating in any seat exchange, users confirm that:

• they are the lawful holder of the ticket;
• they have authority to exchange their assigned seat;
• all flight information submitted is accurate;
• they will comply with airline procedures.

Users are solely responsible for communicating with the airline where required.

GoodSeat makes no guarantee that:

• another passenger will accept;
• the airline will approve;
• the exchange will improve seating;
• both passengers will board together.

Any payment made between users is solely between those users.

GoodSeat is not a party to the agreement.

GoodSeat is not responsible for:

• fraud
• chargebacks
• payment disputes
• misrepresentation
• failure to appear
• cancellation after payment

Platform service fees are non-refundable once the matching service has been successfully provided, except where required by law.

Any refund policies will be displayed separately.

GoodSeat has absolutely no authority over:

• boarding
• seating
• upgrades
• downgrades
• flight delays
• cancellations
• denied boarding
• airline operational decisions

All airline decisions are final.

GoodSeat may request identity verification at any time.

Failure to comply may result in:

• suspension
• cancellation
• permanent account termination

Airport networking features are intended solely for professional and social networking.

Users remain entirely responsible for:

• who they meet;
• where they meet;
• their own personal safety.

GoodSeat performs no background checks unless explicitly stated.

Users may not:

• harass others;
• impersonate another person;
• upload false tickets;
• use fake identities;
• scam passengers;
• solicit illegal activity;
• share offensive material;
• threaten others;
• abuse airport facilities.

Violation may result in immediate permanent ban.

GoodSeat reserves the right to:

• investigate suspicious activity;
• suspend transactions;
• report illegal activity;
• cooperate with airlines;
• cooperate with law enforcement.

Users agree that GoodSeat may process personal information necessary to provide the services.

This includes:

• flight information
• seating information
• location (when enabled)
• networking profile

All processing follows the Privacy Policy.

Users retain ownership of content they upload.

However, they grant GoodSeat a worldwide license to display content necessary for operating the platform.

Networking features require location permissions.

Users may disable location at any time.

GoodSeat cannot guarantee accurate positioning.

GoodSeat is provided "AS IS" and "AS AVAILABLE."

We do not guarantee:

• uninterrupted service;
• error-free operation;
• continuous availability.

To the maximum extent permitted by law, GoodSeat disclaims all warranties, including:

• merchantability;
• fitness for a particular purpose;
• uninterrupted service;
• accuracy of user information.

To the fullest extent permitted by law, GoodSeat shall not be liable for:

• missed flights;
• denied boarding;
• airline penalties;
• immigration issues;
• security issues;
• baggage loss;
• personal injuries;
• theft;
• fraud between users;
• emotional distress;
• business losses;
• indirect damages;
• consequential damages.

The maximum liability of GoodSeat shall never exceed the amount paid by the user to GoodSeat for the specific transaction giving rise to the claim.

Users agree to defend, indemnify and hold harmless GoodSeat, its founders, employees, investors, affiliates and partners from any claims, lawsuits, liabilities, damages, costs and legal expenses arising from:

• seat exchanges;
• networking meetings;
• user misconduct;
• violation of airline rules;
• violation of these Terms.

GoodSeat may suspend or permanently terminate accounts without prior notice for:

• fraud;
• abuse;
• false information;
• illegal conduct;
• violation of these Terms.

GoodSeat shall not be liable for failures caused by events beyond reasonable control including:

• weather;
• airport closures;
• airline disruptions;
• governmental restrictions;
• cyberattacks;
• internet outages.

All trademarks, software, branding, algorithms and designs remain the exclusive property of GoodSeat.

No user may copy, reverse engineer or exploit the platform.

These Terms shall be governed by the laws of the jurisdiction in which GoodSeat is incorporated.

Any disputes shall be resolved exclusively before the competent courts of that jurisdiction unless mandatory law requires otherwise.

GoodSeat may modify these Terms at any time.

Continued use of the platform constitutes acceptance of the updated Terms.
